View as PDF1.1 These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an organisation ("Customer", "you") and BidScript Ltd ("BidScript", "we", "us", or "our"), governing your access to and use of: (a) the BidScript website at www.bidscript.co.uk, (b) any related online applications or mobile interfaces (collectively, the "Site"), and (c) the BidScript bid management software platform and associated support services (the "Services").
1.2 BidScript Ltd is a company registered in England and Wales (Company No. 15669402) with its registered office at Bruntwood Station House, New Stamford Road, Altrincham, Cheshire, WA14 1EP.
1.3 By accessing or using the Site or Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Site or Services.
1.4 Supplemental terms, including any Software as a Service Agreement executed between BidScript and a Customer ("Customer Agreement"), shall prevail over these Terms to the extent of any inconsistency.
2.1 Subject to payment of applicable fees (where relevant), BidScript grants the Customer a limited, non-exclusive, non-transferable right to access and use the Services for its internal business purposes, during the applicable subscription term.
2.2 You agree not to: (a) copy, modify, or create derivative works of the Services; (b) reverse engineer or attempt to extract source code; (c) resell, sublicense, or provide access to unauthorised third parties; (d) use the Services to store or transmit unlawful or malicious material; or (e) use the Services in any way that violates applicable law or regulation.
2.3 The Customer remains responsible for all activity occurring under its user accounts and must maintain secure login credentials.
3.1 All intellectual property rights in the Site, the Services, the software, designs, documentation, and any improvements thereto are and shall remain the exclusive property of BidScript or its licensors.
3.2 The Customer retains all ownership rights in its own data but grants BidScript a licence to host, process, and use such data solely to provide the Services.
4.1 Access to the Services may require payment of subscription fees as described on the Site or in a Customer Agreement. All fees are payable in advance, exclusive of VAT, and non-refundable.
4.2 Payments are processed through Stripe or such other method as BidScript may approve. You authorise BidScript (and its payment processors) to charge your designated payment method on a recurring basis, as applicable.
4.3 BidScript may revise its pricing for renewals by giving at least thirty (30) days' written notice before the renewal date. Continued use of the Services after renewal constitutes acceptance of the updated fees.
4.4 BidScript may suspend access to the Services for any account with overdue payments until all outstanding amounts are received.
5.1 Subscription Services continue for the initial term agreed at purchase and renew automatically for successive terms unless cancelled in accordance with Clause 5.2.
5.2 Customers may cancel renewal by providing written notice at least thirty (30) days before the end of the current term. No refunds shall be made for any prepaid fees.
5.3 BidScript may terminate or suspend access to the Site or Services immediately if you breach these Terms, fail to pay fees when due, or engage in unlawful or abusive conduct.
5.4 Upon termination or expiry: (a) all rights to use the Services shall cease; and (b) BidScript shall, upon written request, return or delete Customer Data within thirty (30) days, subject to legal retention obligations.
6.1 BidScript will use reasonable endeavours to make the Services available with a monthly uptime of 99.9%, excluding scheduled maintenance and circumstances beyond our control.
6.2 Support is available during UK business hours (Monday–Friday, 9:00 a.m.–5:00 p.m., excluding public holidays). Critical (Priority 1) issues are supported 24/7 via support@bidscript.co.uk.
6.3 Where service levels are not met, BidScript may, at its discretion, issue service credits up to 5% of the affected month's fees. Such credits constitute the Customer's sole and exclusive remedy for downtime.
7.1 Both parties shall comply with applicable UK Data Protection Laws, including the UK GDPR and the Data Protection Act 2018.
7.2 The Customer acts as the data controller and BidScript acts as the data processor when processing Customer Data in connection with the Services.
7.3 BidScript shall: (a) process personal data only on documented instructions from the Customer; (b) maintain appropriate technical and organisational measures to protect such data; (c) ensure personnel are bound by confidentiality obligations; (d) notify the Customer of any personal data breach without undue delay; and (e) delete or return data upon termination, unless retention is required by law.
7.4 Further details are set out in our Privacy Policy.
8.1 Each party shall keep confidential all information disclosed by the other that is marked or reasonably understood to be confidential and shall not disclose it except as required by law or with the other party's consent.
8.2 This obligation survives termination for three (3) years.
9.1 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
9.2 Subject to Clause 9.1, BidScript shall not be liable for any: (a) indirect, consequential, or special loss; (b) loss of profits, revenue, data, or goodwill.
9.3 BidScript's total aggregate liability in respect of any claim shall not exceed the total fees paid by the Customer during the twelve (12) months preceding the event giving rise to the claim.
The Customer shall indemnify and hold BidScript harmless against any losses or claims arising out of the Customer's use of the Services in breach of these Terms or applicable law.
11.1 You must not use the Site or Services to: (a) distribute unlawful, defamatory, or harmful material; (b) attempt to gain unauthorised access to systems or data; (c) upload viruses or malicious code; or (d) interfere with the operation of the Site.
11.2 BidScript may monitor usage and suspend accounts involved in abuse, security violations, or fraudulent activity.
12.1 BidScript may update these Terms from time to time. Updates will be effective upon posting on the Site, and the "Last Updated" date will be revised accordingly.
12.2 Your continued use of the Site or Services after any such change constitutes acceptance of the updated Terms.
These Terms are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales in respect of all disputes arising out of or in connection with these Terms.
